Vendor Response Terms

These terms apply when you ("Vendor," "you") respond to a request for proposal issued through SaaS PriceDesk by one of our customers (the "Buyer"). They are between you and SaaS PriceDesk. Your relationship with the Buyer, including any resulting contract, is governed separately by whatever you and the Buyer agree.

You accept these terms when you submit a response. You may read the RFP and prepare a draft without accepting them.

The link you received is unique to your company for this RFP. Do not forward it outside your organization. You may have as many people from your company work on the response as you like, and you may save and return as often as you need before the deadline.

The Buyer may revoke a link, and a link stops working after the response deadline the Buyer set. Once you submit, your response is final and cannot be edited.

Submitting a completed response carries a per-RFP fee, shown to you before you submit and charged once per RFP regardless of how many people from your company contribute or how many times you save a draft. Payment is processed by Stripe; we never receive or store your card details.

The fee is not a bid fee and is not paid to the Buyer. It does not improve your standing, and neither we nor the Buyer represent that paying it makes an award more likely. Some Buyers waive the fee; where that applies you will not be asked to pay.

Fees are non-refundable once a response is submitted, except where the Buyer cancels the RFP before the deadline, in which case contact us and we will refund it.

This is the part you should read closely, because it is the reason the Service exists.

Pricing becomes benchmark data. By submitting, you grant SaaS PriceDesk a perpetual, worldwide, non-exclusive licence to retain, normalize, aggregate, and publish the pricing you submit — unit prices, one-time costs, recurring costs, escalators, and derived figures such as per-user-per-month rates and total cost of ownership — as part of our benchmark database, which other buyers pay to access.

Your company is named. Benchmark data identifies the vendor, because a price is not useful to a buyer without knowing whose price it is. Pricing is typically shown as a range or average across multiple sources rather than as a single quoted figure.

What is never published.We do not publish the Buyer's identity, the RFP itself, your narrative answers or explanations, documents you upload, your contact details, or any score or evaluation the Buyer assigns. Those go to the Buyer alone.

Confidential lines. You may mark specific pricing lines confidential. Those lines go to the Buyer but are excluded from the benchmark database. If you believe pricing was published in error, contact us at the address below and we will remove it.

Your authority to share. You represent that you have the right to submit the pricing you provide and that doing so does not breach an obligation you owe a third party.

You represent that your responses are accurate and made in good faith. Where you answer that functionality is available, it should be demonstrable in your current released product. Where you answer that it is custom or planned for a future release, the specification, pricing, timeframe, release number, and date you provide should reflect a genuine commitment.

We do not verify vendor responses. Both we and the Buyer may rely on them, and the Buyer may incorporate them into a resulting contract.

Responses must be submitted through the Service to be recorded by it. A Buyer may, at their discretion, decline to evaluate a response delivered by other means. Reproducing the response form in order to submit outside the Service is a circumvention of these terms.

You agree not to share your response link outside your organization, submit malicious files, attempt to access another vendor's response or another Buyer's RFP, scrape the Service, or use it to build a competing product.

THE SERVICE IS PROVIDED "AS IS." We do not guarantee that a Buyer will evaluate, shortlist, or award to you, and we are not a party to any procurement decision. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU WILL NOT EXCEED THE FEES YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM.

These terms are governed by the laws of the State of Texas, excluding conflict-of-law rules, with disputes resolved in the state or federal courts located there.
